MyWebReps LLC · Legal
Terms of Service
Effective
Agreement
These terms govern use of this website and, unless a signed agreement says otherwise, engagements with MyWebReps LLC. Where a signed proposal, statement of work, or invoice sets different terms for an engagement, that document controls.
Services
We provide digital advertising and measurement services, including the fixed-scope and monthly programs described on this site. Each engagement’s scope, deliverables, timeline, and fees are stated before work starts.
Fees and payment
Fees are fixed for fixed-scope programs and billed monthly for monthly programs, as stated in the engagement documents. Invoices are due on the terms they state. Ad platform spend is paid by you directly to the platform and is separate from our fees.
Your responsibilities
You are responsible for providing accurate information, timely access to the accounts and systems an engagement requires, and for the legality of your own products, services, and claims.
No performance guarantee
Advertising platforms are systems we do not control. We stand behind the work we deliver and the findings we file, and we do not guarantee specific rankings, traffic, conversion, or revenue outcomes.
Intellectual property
Deliverables produced for you become yours when they are paid for. Our internal methods, frameworks, checklists, and tooling remain ours, including where they were used to produce your deliverables.
Third-party platforms
Work involving third-party platforms (advertising, analytics, hosting, and similar) is subject to those platforms’ own terms, which you accept directly with them.
Limitation of liability
To the maximum extent the law allows, our total liability for any claim arising from an engagement is limited to the fees you paid us for that engagement in the three months before the claim arose, and neither party is liable for indirect, incidental, or consequential damages.
Termination
Monthly programs may be ended by either party with written notice as stated in the engagement documents. Fees for work already performed remain due.
Governing law
These terms are governed by the laws of the State of California. Questions go to dan@mywebreps.com.
Changes to these terms
If these terms change, the new version is published here with a new effective date.
